Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the FundSignal platform ("Service"), operated by Hope Underground Capital LLC ("Company," "we," "us"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including lenders, trial users, and anyone who visits our platform.

The Service

FundSignal is a lead intelligence platform that monitors publicly accessible real estate forums and social platforms to identify posts where investors are actively seeking funding. Our AI classifies these posts by intent level (hot, warm, cold) and delivers them to lenders via a real-time dashboard.

What FundSignal provides

• Automated monitoring of public real estate forums for funding intent signals
• AI-powered intent classification and lead scoring
• A searchable, filterable lead feed with real-time updates
• CRM tools to track leads from first signal to closed deal
• Outreach message generation tools

What FundSignal does not provide

• Verified borrower contact information or direct introductions
• Guarantees that any lead will result in a closed loan
• Legal, financial, or compliance advice
• Exclusive access to any particular lead (multiple lenders may see the same signal)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

Accounts & Responsibilities

To access the full Service, you must create an account. You agree to:

• Provide accurate, complete, and current account information
• Maintain the confidentiality of your password and not share your account credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activity that occurs under your account
• Not create accounts on behalf of another person without authorization

You must be at least 18 years old and legally authorized to conduct business in your jurisdiction to use FundSignal. The Service is intended for professional lending businesses — hard money lenders, private capital providers, DSCR originators, and similar entities.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion if we determine a violation of these Terms has occurred.

Acceptable Use

You agree to use FundSignal only for lawful purposes and in ways consistent with its intended use as a lending lead generation tool. You agree not to:

• Use the Service to spam, harass, or engage in deceptive outreach to leads
• Misrepresent your lending credentials, loan programs, or business identity when contacting leads
• Scrape, copy, or redistribute lead data outside of the platform for sale or distribution to third parties
• Attempt to reverse-engineer, decompile, or extract the underlying algorithms or data sources of FundSignal
• Use automated scripts, bots, or crawlers to access the platform beyond normal browser use
• Circumvent any technical measures used to enforce these Terms
• Use FundSignal data to build a competing product
• Violate any applicable laws, including the CAN-SPAM Act, TCPA, or applicable state lending regulations

You are solely responsible for your own outreach and communications with leads. All lending activities conducted as a result of using FundSignal must comply with applicable federal and state lending laws, including but not limited to RESPA, TILA, ECOA, and state-specific licensing requirements.

Lead Data — Accuracy Disclaimer

Lead data on FundSignal is sourced from publicly posted content and classified by AI. We make no representations or warranties about:

• The accuracy, completeness, or recency of any lead
• Whether the poster is actually seeking a loan (they may be posting hypothetically, asking questions, or have already found financing)
• Whether any lead meets your specific lending criteria
• The creditworthiness, identity, or intent of any individual whose post appears in the feed

Lead data reflects public forum posts at the time of capture. Posts may be edited or deleted on the original platform. FundSignal retains a snapshot of the captured content and makes no guarantee that it reflects the current state of the original post.

Posts are captured from forums where users have chosen to make their content publicly accessible. If you are a forum poster who believes your content was captured in error, see our Data Use Policy for removal procedures.

Payments & Billing

FundSignal is offered on a subscription basis. Pricing and plan details are displayed at signup and in your account settings.

Billing

• Subscriptions are billed monthly or annually, depending on your selected plan
• Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for subscription fees
• Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date

Cancellation & Refunds

• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period
• We do not offer prorated refunds for partial months of service
• If you believe you were charged in error, contact billing@fundsignal.app within 30 days of the charge
• At our discretion, we may issue refunds for billing errors or extenuating circumstances

Price Changes

We reserve the right to change subscription prices with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Intellectual Property

FundSignal and its content, features, and functionality — including the AI classification engine, design, code, and platform — are owned by Hope Underground Capital LLC and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

The lead data displayed in your dashboard (sourced from public forum posts) is provided for your use in identifying potential borrowers. You may use this data to make outreach and conduct business, but you may not redistribute, resell, or sublicense the data to third parties.

By using FundSignal, you retain ownership of any notes, tags, or CRM data you enter. You grant us a license to store and display that data within the platform for your use.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOPE UNDERGROUND CAPITAL LLC DISCLAIMS ALL WARRANTIES, INCLUDING:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY LEAD DATA

FundSignal does not guarantee any specific number of leads, lead quality, conversion rates, or business outcomes from using the Service. Results vary based on market conditions, lending criteria, outreach quality, and many other factors outside our control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOPE UNDERGROUND CAPITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Lost profits or business opportunities
• Losses resulting from acting on inaccurate or outdated lead data
• Losses resulting from unauthorized access to your account
• Losses from service interruptions or data loss

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on liability. In those jurisdictions, the above limitations may not fully apply to you.

Termination

You may close your account at any time by contacting us at support@fundsignal.app or through account settings.

We may suspend or terminate your account immediately, without prior notice or liability, if you:

• Violate these Terms
• Engage in conduct harmful to other users, leads, or the platform
• Fail to pay applicable subscription fees
• Are found to be using the Service for illegal lending activities

Upon termination, your right to access the Service ends. We will retain your data per our Privacy Policy retention schedule.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be addressed through good-faith negotiation. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Rockcastle County, Kentucky, under the rules of the American Arbitration Association.

You waive the right to participate in class action lawsuits or class-wide arbitration relating to the Service.

Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify active subscribers by email at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
